Terms of Service

Who we are and what these terms cover

These Terms of Service ("Terms") are an agreement between Lease Pace TYH LLC ("LeasePace," "we," "us") and the business or person that signs up for LeasePace ("Customer," "you"). They cover your use of leasepace.io and the LeasePace platform, including Pace, our AI leasing assistant (together, the "Service").

LeasePace is built for property managers, landlords and leasing teams. Renters and prospects who text or message your number are communicating with your business. LeasePace provides the technology you use to answer them.

By creating an account, booking setup, or using the Service, you agree to these Terms. If you're accepting on behalf of a company, you confirm you have authority to bind it.

Accounts

You must be at least 18 and provide accurate account and business information. You're responsible for everyone you give access to, for keeping login details secure, and for all activity under your account. Tell us promptly at [email protected] if you believe your account has been accessed without permission.

The Service

The Service includes a messaging platform (SMS and WhatsApp), AI-generated replies from Pace, task management, calendar and tour scheduling, a leasing pipeline, rental applications and e-signature. We may improve, change or add features over time. If we remove something material that you rely on, we'll give you reasonable notice.

We set up the Service for you, including connecting your number and loading your units, availability and rules, based on the information you give us.

Fees and billing

Subscription. The base subscription is $97 per month, billed monthly in advance, unless a different price is agreed in writing.

Usage. AI replies and text messaging are billed separately, based on your usage, in addition to the subscription.

Promotions. Pilot or promotional offers (for example, a period with no base charge or included usage credit) apply only as described in writing when you sign up, and end on the date stated.

Payment. You authorize us and our payment processor to charge your payment method for subscription and usage fees, plus applicable taxes. If a payment fails, we may suspend the Service until it's resolved.

Cancellation. You can cancel at any time. Cancellation takes effect at the end of your current billing period. Fees already paid are non-refundable except where the law requires otherwise.

Your responsibilities

You're responsible for how you use the Service to communicate with renters and run your leasing, including making sure you:

• Comply with fair housing laws, including the federal Fair Housing Act and applicable state and local laws.
• Comply with messaging laws and rules, including the Telephone Consumer Protection Act (TCPA), carrier and CTIA requirements, and WhatsApp Business policies.
• Have the right to message the people you contact, and get any consent the law requires.
• Give us accurate information about your units, prices, availability, policies and screening criteria.
• Make all leasing decisions yourself, including approving or denying applications.

How Pace works

Pace is an automated assistant. It answers renter messages using the information and rules you provide, asks qualifying questions, offers tour times and hands conversations to your team when something is unusual.

Pace discloses that it's an assistant. It does not approve or deny applications and does not make leasing decisions. Like any automated system, it can make mistakes. You're responsible for reviewing its configuration and conversations and correcting information that's out of date. Nothing Pace says is legal, financial or tax advice.

Messaging

Messages sent through the Service are sent on your behalf, from the number connected to your account. Opt-out requests (such as replying STOP) are honored automatically, and HELP replies return contact information. Message and data rates may apply to recipients. Delivery depends on carriers and third-party platforms, and we can't guarantee that every message is delivered.

Acceptable use

You agree not to use the Service to:

• Send spam, unsolicited marketing, or messages to people who haven't agreed to receive them where consent is required.
• Discriminate against anyone, or send content that is unlawful, harassing, deceptive or misleading.
• Interfere with, overload, reverse engineer, or try to get unauthorized access to the Service.
• Resell the Service, or share accounts outside your business, without our written permission.

We may suspend or limit access if we reasonably believe the Service is being used in violation of these Terms or the law.

Your data

You own the data you and your renters put into the Service, including conversations, applications and documents ("Customer Data"). You give us permission to host, process and transmit Customer Data only as needed to provide and support the Service, and as described in our Privacy Policy.

You also give us permission to use Customer Data, including message content, to train, develop and improve Pace and the Service. You're responsible for making sure your own privacy notices to renters allow this.

You can export your Customer Data at any time while your account is active. Please export anything you want to keep before you close your account. When your account is closed, we delete your Customer Data, except where the law requires us to keep it. Copies in backups are removed on our regular backup schedule.

Third-party services

The Service relies on third-party providers, including phone carriers and messaging providers, WhatsApp, AI model providers, e-signature, hosting and payment processing. Their own terms may apply to your use of their services. We're not responsible for outages or changes outside our control.

Intellectual property

We own the Service, including its software, design and content, other than Customer Data. These Terms don't give you ownership of any of it. If you send us feedback or suggestions, we may use them without obligation to you.

Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for the purpose of these Terms, except where disclosure is required by law.

Term, suspension and termination

These Terms apply for as long as you use the Service. You can stop at any time by cancelling. We may suspend or end your access if you materially breach these Terms, don't pay, or use the Service in a way that creates legal risk or harm to others. Sections that by their nature should survive (such as fees owed, disclaimers, limitation of liability and indemnification) survive termination.

Disclaimers

The Service is provided "as is" and "as available." To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee any particular result, including leases signed, occupancy, or response times. Any figures we publish, such as median reply time, describe past measurements and are not guarantees.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim arose.

Indemnification

You'll defend and indemnify LeasePace against third-party claims arising from your messages, your leasing decisions, your Customer Data, or your violation of these Terms or the law, including fair housing and messaging laws.

Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in the State of New York, and both parties consent to that jurisdiction.

Changes to these terms

We may update these Terms. If a change is material, we'll notify you by email or in the Service before it takes effect. The "Last updated" date at the top shows the latest version. Continuing to use the Service after changes take effect means you accept them.
